By accessing or using our services, you agree to comply with and be bound by the following terms and conditions. If you do not agree with these terms, you should not use our services.1. Services Provided Studios offers custom sound engineering services, including but not limited to sound design, mixing, mastering, and consulting for individuals, businesses, and artists.2. Client Responsibilities Accurate Information: You agree to provide accurate, complete, and up-to-date information when engaging our services. Submission of Materials: You are responsible for ensuring that any materials, including sound files or content, submitted to us are free from infringement on third-party rights, including copyrights.3. Payment Terms Pricing: All prices for our services will be outlined in the quote provided to you. Prices may vary depending on the project scope, and we reserve the right to modify pricing at our discretion. Payment: Payments are due as specified in the service agreement. We accept payment via digital currency cards, check, and cash. A deposit may be required before services begin, with the balance due upon completion. Late Payments: If payment is not received by the due date, we reserve the right to suspend services until full payment is made.4. Project Deliverables and Revisions Sound Samples: For approved projects, a sample of the sound work may be sent for feedback and revisions. The number of revisions allowed will be specified in the service agreement. Final Deliverables: Once the final version of your sound work is approved, we will deliver the final files in the agreed format. Any additional work outside the original scope may incur extra charges.5. Intellectual Property Rights Ownership: Upon final payment, you will own the rights to the final sound products delivered to you. However, we retain the right to showcase the work in our portfolio unless otherwise agreed upon. Copyright: You agree that all intellectual property rights in the services provided, including any raw files or drafts, remain the property of MWR Studios unless otherwise agreed.6. Confidentiality We understand the importance of confidentiality. Any confidential information shared between you and MWR Studios will be protected and will not be disclosed to third parties without your permission, except as required by law.7. Cancellation and Termination Cancellation: You may cancel the project at any time by providing written notice. However, any work completed up to the point of cancellation may still be subject to payment. Termination: MWR Studios reserves the right to terminate the agreement if you violate any of these terms or fail to make timely payments.8. Limitation of Liability Studios is not responsible for any direct, indirect, incidental, or consequential damages arising from the use of our services, including any loss of data, business interruptions, or other financial damages. Our total liability will be limited to the amount paid for the services rendered under the agreement.9. Dispute Resolution Any disputes arising from these Terms and Conditions shall be resolved through the state of Iowa or with MWR Studios, and any legal action must be brought in the courts of Iowa.10. This generalized MWR Studios Service Agreement is sent to each client for services requested, and located here for official reference. Effective Date: Dates of Digital Client Approval This Service Agreement ("Agreement") is entered into by and between MWR Studios, a sound engineering company based in Des Moines, IA ("Service Provider"), and the client identified in the email or written communication approving our Agreement ("Client"). This Agreement becomes binding upon Client's written approval (e.g., via email), and governs the services to be provided by MWR Studios. 1. Scope of Services MWR Studios shall provide custom sound engineering services, which may include but are not limited to:• Sound design• Audio editing• Mixing and mastering• Consulting and strategic audio services Specific deliverables and timelines will be detailed in the associated quote, email, or project proposal approved by the Client. 2. Approval & Acceptance By replying with written approval (e.g., "Approved," "Yes," or similar language) to the service quote, proposal, or email, the Client:• Agrees to the pricing and scope described• Authorizes MWR Studios to begin work• Acknowledges and accepts this Agreement, including all terms referenced herein 3. Payment Terms• Quote-Based Pricing: All pricing is project-specific and will be listed in a quote or email prior to commencement of services.• Deposit: A deposit may be required before work begins, as stated in the quote.• Final Payment: Remaining balance is due upon completion of services and prior to delivery of final files unless otherwise agreed in writing.• Late Payments: Failure to pay on time may result in a suspension of services and/or withholding of deliverables. Client agrees that once approval is given, they are financially responsible for all work completed, regardless of subsequent cancellation. 4. Revisions and Deliverables• MWR Studios will provide a limited number of revisions, as outlined in the individual service agreement or quote.• Final deliverables will be submitted in the format specified in the quote or email correspondence. Any additional work outside the original scope may incur further charges. 5. Disclaimers Client acknowledges and agrees to the following:• The quality of the final mix or master is directly influenced by the quality of the original source material. While MWR Studios applies professional tools and techniques to enhance every track, flaws in the original may persist in the final product.• MWR Studios is not responsible for performance or recording issues present in the provided material.• MWR Studios may provide feedback or suggestions to improve future recordings but is not obligated to fix problems inherent in the input files. These disclaimers are further detailed in the project documents and quote agreement. 6. Confidentiality MWR Studios agrees to maintain the confidentiality of all materials, recordings, and information submitted by the Client. No content will be shared with third parties without written permission, except as required by law. 7. Intellectual Property Rights• Upon full and final payment, Client will hold exclusive rights to the final deliverables, unless otherwise stated.• MWR Studios retains rights to use the work for portfolio purposes unless the Client requests confidentiality in writing.• All raw files, session data, or drafts remain the property of MWR Studios unless otherwise agreed. 8. Data & Privacy Client information is protected under our Privacy Policy and will be used only to deliver services, process payments, and communicate project-related updates. Client may unsubscribe from non-essential communications at any time. 9. Cancellation & Termination• Client-Initiated: Client may cancel a project by providing written notice. However, all completed work up to the point of cancellation is billable.• MWR Studios-Initiated: We reserve the right to terminate our Agreement in cases of non-payment, misuse, or violation of terms. 10. Limitation of Liability MWR Studios is not liable for any indirect, incidental, or consequential damages arising from services rendered. Our total liability is limited to the amount paid by the Client under this Agreement.11. Dispute Resolution Any disputes will be governed by the laws of the State of Iowa and resolved in the courts located therein. 12. Entire Agreement This Agreement, along with the Client-approved quote, Terms and Conditions, Privacy Policy, and associated disclaimers, constitutes the entire agreement between the parties and supersedes all prior communications.
